Errors and Omissions (E&O) policy

This Errors and Omissions (E&O) Policy applies to all Services offered by TRUCentral AI LLC marketplace that contains important disclosures, notifications and disclaimers to which the entity purchasing any of the Services you and Your Users will be subject. The purpose of this policy is to help you better understand those risks, limitations and restrictions so that you can make informed decisions regarding your use of TRUCentral AI LLC and functionality, including whether to use such features and functionality, how to use them and their outputs.

By ordering the Services or using the Services, you acknowledge and accept this Policy and agree to be bound by its terms. This policy is effective immediately upon your initial use, order or purchase of the Services on or after the effective date hereof.

  1. Definitions
  2. “AI” stands for artificial intelligence, which is the development of computer systems that can perform tasks that have historically required human intelligence, such as visual perception, speech recognition, decision-making, interpretation, and translation between languages.
  3. “Marketplace” means TRUCentral AI LLC (hereinafter referred to as either “we”, “our”, “us”, or “TRUCentral AI LLC”).
  4. “Third-Party Service Provider” means any service or product offered by a party that is not TRUCentral AI LLC.
  5. “You” means the individual accessing the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable (hereinafter referred to as either “you”, “yours” or “user”).

  1. Background; Scope of Services

TRUCentral AI LLC operates an AI-driven marketplace offering comprehensive background check, identification, and verification services. TRUCentral AI LLC provides a platform where users can access background check services under its brand, although all underlying services are conducted by third-party providers. We exercise due diligence in selecting third-party providers that meet international compliance standards, but it does not assume responsibility for the actions, errors, or omissions of these third parties. You should be aware that their engagement with background check services is ultimate with these third-party providers, and any disputes or issues arising from the service are subject to the provider’s terms and conditions.

TRUCentral AI LLC offers the capability to perform numerous tasks more efficiently and accurately, such as background Checks, identification, verification, analyzing data, making predictions and automating tasks. However, AI is an extremely complex and rapidly evolving area that presents numerous potential risks, errors, omissions, limitations and restrictions.

The purpose of this policy is to help you better understand those risks, limitations and restrictions so that you can make informed decisions regarding Your use of TRUCentral AI LLC and functionality, including whether to use such features and functionality, how to use them and their outputs.

By using TRUCentral AI LLC, you agree and admit that

  1. you shall use TRUCentral AI LLC responsibly and confidentially and in accordance with applicable laws and regulations;
  2. you have been advised of and accept the risks, limitations and restrictions associated with using AI, including without limitation those described in this policy; and
  3. it is your responsibility to advise your users regarding the risks, limitations and restrictions related to AI features described herein.

 

  1. Service Limitations and Disclaimers
    • Service Limitations

All the features, and functionality offered through or in connection with the Services provided by TRUCentral AI LLC  are made available on an “as is” and “as available” basis. We make no representations or warranties regarding the availability, effectiveness, accuracy, or any other aspect of the output or performance of such AI tools, features, and functionality. You agree that the use of TRUCentral AI LLC’s features, and functionality is at the sole risk of you. While we endeavors our best to provide high-quality services through globally vetted third-party providers, we cannot guarantee error-free results.

Notwithstanding any other provision in this policy, you hereby agree to hold harmless TRUCentral AI LLC from any liability, claims, or damages arising out of or related to:

  1. Any inaccuracies, errors, biases, or offensive content contained in any output generated by AI tools, features, or functionality, whether such inaccuracies, errors, or biases are due to incorrect, outdated, or biased source information, failures of the AI tool to properly process source information, or any other cause;
  2. Any AI-generated output that
  • violates any applicable law or regulation;
  • infringes upon the intellectual property or other rights of any party; or
  • is subject to restrictive licensing provisions or other limitations that could negatively impact any party using such output;
  1. Any failure by a third-party provider of AI-related services to properly segregate the user’s data from that of other users of the provider’s services;

You acknowledge that AI-driven processes, while designed for accuracy and efficiency, are not immune to errors or unintended outcomes. We do not assume liability for any errors in the automation process or for decisions made based on AI-driven outputs. You are advised and encouraged to verify the accuracy of any AI-generated results independently and to use your discretion when acting on such information.

Many of the TRUCentral AI LLC services, features and functionality offered are powered by third-party service providers. We attempt to conduct thorough reviews of the security of third party service providers and will use reasonable care to securely transmit to the third-party service providers the data that you submit to us. However, TRUCentral AI LLC has no control over the quality or performance of such third-parties. Furthermore, the data that you submit to us (along with the output generated by the applicable AI tool) will be stored, transmitted and processed by such third-party service providers and TRUCentral AI LLC has no involvement in the processes or practices that such third-party vendors use when handling your data. TRUCentral AI LLC therefore makes no assurances regarding, and disclaims all liability and responsibility regarding, (a) the quality, accuracy and/or performance of any such third-party AI solutions; and/or (b) the ability of the providers of such third-party AI solutions to adequately and successfully protect the privacy and/or confidentiality of any of your data that you or your Users provide to or receive from such AI solutions.

  1. Limitation of Liability

While we strive to ensure the reliability and quality of services offered through its platform, it shall not be held liable for any errors, omissions, inaccuracies, or failures performed by the third-party providers. TRUCentral AI LLC’s liability, in any event, shall be strictly limited to the scope of its role as a facilitator. In no case shall TRUCentral AI LLC be liable for indirect, consequential, special, or punitive damages arising from the use of third-party services. This includes, but is not limited to, any financial losses, reputational harm, or operational disruptions experienced by users due to the performance or non-performance of the services.

  1. Data Management and Privacy

TRUCentral AI LLC is committed to maintaining the privacy and security of its users. we collect personal (e.g., name and email address) and non-personal data solely for the purpose of account management and communication regarding the services provided and do not store, process, or retain sensitive personal data such as social security numbers, financial information, or any data used in the background check processes conducted by third-party providers. All data related to the verification and background check services is managed exclusively by third-party providers, subject to their own privacy policies and data protection measures.

  1. Indemnification

You hereby agree to indemnify, defend, and hold harmless TRUCentral AI LLC, its affiliates, subsidiaries, successors, and assigns as well as each of their respective officers, directors, employees, and agents from any claims, demands, losses, liabilities, damages, or expenses (including reasonable attorneys’ fees) arising out of or in connection with their use of the marketplace or services offered by third-party providers. This includes any claims related to errors, omissions, inaccuracies, or negligence on the part of third-party providers, as well as any misuse or misrepresentation of services facilitated through the platform.

  1. Compliance with Global Laws and Regulations

TRUCentral AI LLC is committed to working with third-party providers that comply with relevant laws and regulations, including but not limited to the General Data Protection Regulation (GDPR), the California Consumer Privacy Act (CCPA), and other privacy and data protection frameworks applicable in various jurisdictions. Despite these efforts, TRUCentral AI LLC makes no guarantees regarding the legal compliance of third-party providers in all jurisdictions and encourages users to independently verify the legality of using the services in their respective countries. You agree that you are responsible for ensuring that the use of background check services complies with local laws and regulations.

  1. Governing Law and Jurisdiction

This Errors & Omissions policy shall be governed by and construed in accordance with the laws of Morgan City, United States, without giving effect to any conflict of laws principles. You expressly agree that any disputes, claims, or controversies arising out of or relating to this policy, or the services provided by TRUCentral AI LLC shall be subject to the exclusive jurisdiction of the courts located in Morgan City, United States.
